Entity and Agreement
These Terms and Conditions are entered into with [Entity Name], a Louisiana LLC, doing business as HunterPulse AI. By requesting Strategic Access, entering into a paid engagement, or receiving Signal Briefs, the applying organization and its authorized Territory Operator agree to these terms unless a separately executed written agreement states otherwise.

Service Description
HunterPulse AI provides territory intelligence services, including Signal Brief delivery, Operational Buying Signal detection, operational buying window detection, Decision-Maker Pathway identification, Engagement Pathway guidance, and Territory Coordination for exclusive Territory Operators.

No Guarantee of Revenue, Sales, or Specific Outcomes
HunterPulse AI does not guarantee revenue, closed sales, conversion rates, meetings, procurement outcomes, or any specific business result. Signal Briefs are intelligence artifacts designed to support timing, prioritization, and positioning, but each Territory Operator remains responsible for its own outreach, commercial process, compliance obligations, and business decisions.
Territory Exclusivity
HunterPulse AI maintains one operator per vertical per market. A market may be held by multiple operators across different industries, but each vertical position within that market is exclusive while the applicable account is active and in good standing.
Territory boundaries, vertical definitions, and exclusivity scope may be clarified during Strategic Access review or in a written engagement summary.
Billing and Founding Rates
Billing is monthly recurring unless a written agreement states otherwise. Setup fees apply as quoted. Founding Access rates are locked while the account remains active and in good standing, subject to the agreed scope and territory position.
Failure to pay required fees may result in suspension or loss of territory exclusivity.
Cancellation
Either party may cancel with 30 days written notice. Unless otherwise agreed in writing, there are no refunds or credits for partial months, unused periods, or partially delivered territory intelligence services.
Priority Waitlist
If a requested territory and vertical is already held, the applicant may be placed on a priority waitlist. Placement on a waitlist does not guarantee future availability, timing, pricing, or acceptance into Strategic Access.
Acceptable Use
Signal Briefs and related territory intelligence are provided for the Territory Operator's internal business use only. They may not be resold, redistributed, published, sublicensed, or shared outside the Territory Operator's organization without written permission from HunterPulse AI.
The Territory Operator is responsible for ensuring that any outreach, engagement, and use of Decision-Maker Pathway information complies with applicable laws, industry rules, and organizational policies.
AI and Data Disclaimer
Signal Briefs are generated using publicly available operational data and AI analysis. Accuracy, completeness, and timeliness are not guaranteed. Operational Triggers may change, source information may contain errors, and buying-window interpretation may require independent validation by the Territory Operator.
HunterPulse AI does not provide legal, financial, regulatory, tax, procurement, or compliance advice. The Territory Operator should consult qualified professionals for advice specific to its business, industry, and jurisdiction.
Limitation of Liability
To the maximum extent permitted by law, HunterPulse AI and its owners, officers, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from or related to Strategic Access, Signal Briefs, Signal Detection, Territory Coordination, or use of any territory intelligence materials.
To the maximum extent permitted by law, HunterPulse AI's total liability for any claim will not exceed the amounts paid to HunterPulse AI by the applicable Territory Operator during the three months preceding the event giving rise to the claim.
Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. The parties agree to first attempt good-faith negotiation for any dispute arising from these terms or HunterPulse AI services.
If good-faith negotiation does not resolve the dispute, the dispute will be submitted to binding arbitration in Louisiana, unless prohibited by applicable law or modified by a separately executed written agreement.
